The company's September 28 Form 8-K makes the distinction unusually clear. During September 21-27, Strategy issued 1,469,165 MSTR common shares for $246.2 million of net proceeds. It used $142.7 million of those proceeds to buy 1,665 Bitcoin and $103.5 million toward repurchasing STRC preferred stock. The company also used $48.1 million of USD cash for STRC repurchases. The result was a larger Bitcoin treasury and a smaller amount of that preferred security, alongside a larger common-share count.
TECHi calculates that 58.0% of that week's MSTR issuance proceeds went to Bitcoin and 42.0% went to preferred repurchases. The October outlook: two markets have to cooperate
TECHi's base case is $145-$175 for the October 30 close. That broad range assumes Bitcoin does not make a sustained break in either direction and Strategy can keep funding its reserve and preferred obligations without a sharp change in the premium investors assign to MSTR common stock. It deliberately allows for volatility even when the Bitcoin count continues to rise.
The bear case is $120-$145 if Bitcoin falls materially or if the market reduces the premium it pays for Strategy's treasury and capital-markets operation. Additional common issuance can increase the total Bitcoin reserve while leaving the common shareholder with less Bitcoin per share than a headline implies. The bull case is $180-$210 if Bitcoin strengthens and new financing produces a demonstrable improvement in Bitcoin exposure per diluted common share without an adverse change in senior claims.
From $156.51, the bear-range midpoint of $132.50 is about 15.3% lower, while the bull-range midpoint of $195 is about 24.6% higher. The asymmetry is a scenario design choice reflecting MSTR's observed volatility and layered capital structure; it is not a back-tested probability. TECHi's forecast page showed a $229.87 mean analyst target and a $200 median on September 30. The dataset does not specify the targets' exact horizon or target sample count. What the filing says about the common share
Strategy held 847,666 Bitcoin at September 27, acquired for an aggregate $63.95 billion, or about $75,437 per coin including fees and expenses, according to the September 28 filing. The latest weekly addition cost about $142.7 million at roughly $85,681 per coin. A Bitcoin price below that latest purchase price would put that individual lot underwater, but it would not by itself describe the gain or loss on the entire reserve. Conversely, Bitcoin trading above the company's aggregate average cost would not make MSTR common automatically cheap.
At a constant holding of 847,666 coins, each $1,000 move in Bitcoin changes the gross dollar value of the reserve by approximately $847.7 million. A $10,000 move changes it by about $8.48 billion. This TECHi calculation excludes new purchases, sales, tax, cash, debt, preferred claims and changes in the market's valuation premium. TECHi's MSTR financials page showed a roughly $59.33 billion common-equity market value with fundamentals checked September 30 at 9:35 a.m. Eastern. A $10,000 Bitcoin swing is therefore large relative to the company's equity value, but it is wrong to map the $8.48 billion mechanically into an MSTR share-price change.
Why not? MSTR holders stand behind the company's debt and several preferred series. Strategy's June-quarter 10-Q explains that the treasury and capital-raising program is designed to accumulate Bitcoin, while its disclosures also describe the securities and claims used to finance the strategy. The company can issue common or preferred stock, use dollar reserves, repurchase securities, and change Bitcoin holdings between reports. Gross Bitcoin value divided by today's common-share count is not a net asset value available to common holders.
The recent week illustrates the trade-off. The company raised money by issuing common stock; about $103.5 million of those proceeds and $48.1 million of USD cash funded $151.7 million of STRC repurchases. That can reduce a preferred claim, which may benefit common holders. It also issued more common shares. Without a same-date calculation of fully diluted shares, outstanding preferred claims, debt and the value of the repurchased securities, it would be misleading to declare the transaction accretive or dilutive to Bitcoin per common share from the purchase count alone.
The dollar buffer also matters. Strategy disclosed a $5.02 billion USD reserve and $1.00 billion of USD cash as of September 27. It says the reserve is intended to support preferred dividends and debt interest; the additional cash is available for broader treasury uses. Those amounts do not guarantee every future payment or remove Bitcoin-price risk. They do mean an October forecast should not assume the company has to sell Bitcoin the moment the market falls.
The October checkpoints that can move MSTR
Bitcoin price is the obvious first checkpoint, but the weekly financing mix is the second. The September 28 disclosure is a template for what to inspect in the next Form 8-K: common shares sold, net proceeds, Bitcoin acquired or sold, preferred stock issued or repurchased, and changes in the USD reserve. Strategy's metric-data page is a useful current dashboard, but a dated Form 8-K or 10-Q is the better anchor for a reported financing transaction.
The reporting calendar is a third checkpoint. TECHi's earnings page listed October 28, 2026 as a Finnhub-supplied, confirmed next-report date on September 30. TECHi did not find a matching company date announcement in the investor-relations materials reviewed for this draft, so readers should verify the date with Strategy before making a trade around it. If results do arrive in October, an updated forecast must separate Bitcoin fair-value gains or losses from new capital raised and the underlying software operation.
